CONDITIONS OF PARTICIPATION

BOSCH MATCHCAMP

The purpose of the Bosch MatchCamp is to source new ideas and ventures by matching Bosch internal experts with external founders and ideas. Therefore, Bosch attracts talents with domain experience in this networking event to brainstorm business ideas solving real world challenges.

1. SUBJECT OF THE CONDITIONS OF PARTICIPATION, ORGANIZER

1.1 These Conditions of Participation govern the application, selection, participation, and conduct for free the 2.5-day networking event "Bosch MatchCamp" ("Event").

1.2 The organizer of the Event is Bosch Business Innovations GmbH, Grönerstraße 9, 71636 Ludwigsburg, Germany, startup.challenge@bosch.com (hereinafter referred to as "Bosch"). The event will take place at the Bosch Innovation Campus, Ullsteinstr. 128, 12109 Berlin, Germany.

1.3 These Conditions of Participation are accepted by submitting the application.

2. ELIGIBILITY TO PARTICIPATE, REQUIREMENTS FOR PARTICIPATION, EXCLUSION

2.1 Participation in the Event is free of charge. The number of places is limited.

2.2 Eligible to participate are serial founders or persons who worked for a startup before, researchers and engineers in climate tech who aim to build a new business in climate tech, except for persons located in any country or region subject to sanctions or embargos administered by be United Nations, the United States, the European Union, or any other applicable governmental authority.

2.3 The following are excluded from participation:

2.3.1 Employees of Bosch and its affiliated companies as well as their relatives. Relatives within the meaning of these Conditions of Participation are spouses, registered civil partners and first- and second-degree relatives;

2.3.2 Persons that violate the values of Bosch.

2.3.3 Persons who violate these Conditions of Participation.

2.4. Participation in the Event requires application (see Section 3).

3. REGISTRATION, PERIOD OF PARTICIPATION

3.1 The Event will take place from November 26, 2025, to November 28, 2025.

3.2 For the application process from October 16, 2025, until November 20, 2025 (23.59 CET), the information or documents must be submitted to Bosch by providing truthful responses in the mandatory fields of the online application form.

3.3 The application must be in English language.

3.4 Application does not create any right or entitlement to participation.

3.5 Only applications received by Bosch within the period according to Section 3.2 will be considered. The electronically recorded receipt by Bosch is decisive.

4. SELECTION PROCEDURE AND CONFIRMATION

4.1 Places for the Event are allocated through an internal, non-public selection procedure conducted by independent employees of Bosch and Bosch's affiliated companies.

4.2 Criteria may include, inter alia, professional suitability, thematic fit.

4.3 There is no legal entitlement to participate or to disclosure of the reasons for selection.

4.4 Confirmed places are personal and non-transferable. Substitution is permitted only with Bosch’s prior written consent. In the absence of worthy applications, no place or not all places will be given.

4.5 Bosch may maintain a waitlist and determine replacements at its own discretion.

4.6 Selected applicants will be notified by email.

5. PROGRAM, CHANGES, AND CANCELLATION

5.1 The program, speakers, schedule, and content may be modified for organizational or substantive reasons, provided such changes are reasonable.

5.2 Bosch reserves the right to postpone, cancel or terminate the Event or to conduct it in digital form at any time for important reasons without prior notice. An important reason exists if not only, but especially, the correct conduct of the Event can no longer be ensured, e.g., low number of participants, illness of key speakers, force majeure, official requirements.

5.3 If unable to attend, a confirmed participant must notify startup.challenge@bosch.com without undue delay in writing so that the place can be reallocated

6. COPYRIGHT, USAGE RIGHTS, AND RECORDING

6.1 Event materials, presentations, and other content are protected by copyright. Participants receive a simple, non-transferable right for personal, non-commercial use. Reproduction, distribution, or making available to the public requires prior consent of Bosch and/or rights holders.

6.2 Participants’ own audio/video recordings or live streams are only permitted with the prior written consent of Bosch and the persons concerned.

6.3 Trademarks, logos, and signs of Bosch may not be used without consent.

6.4 If, in connection with the participation in the Event, Bosch creates photographs, audio recordings, or film/video recordings of the participant, the participant’s consent to such recordings will be obtained as part of the registration process. The participant will also be informed in advance in accordance with Article 12 GDPR.

7. LIABILITY

7.1 Bosch shall be liable in accordance with the statutory provisions for loss of life, or bodily injury/harm; in the event of intent or gross negligence; in accordance with the provisions of the German Product Liability Act or any applicable mandatory law; and within the scope of a guarantee given by Bosch.

7.2 In the event of any property and financial damage caused negligently in any other way, Bosch and persons engaged by it for the performance of its obligations shall only be liable in the event of a breach of a material contractual obligation, but limited to the amount of damage foreseeable and typical of the contract at the time of conclusion of these Conditions of Participation; material contractual obligations are those obligations which are necessary to the fulfillment of these Conditions of Participation, upon which the participant may therefore rely.

7.3 Furthermore, Bosch´s liability is excluded.

7.4 The foregoing limitations of liability shall also apply in the event of fault by a person engaged by Bosch in the performance of its obligations and to the personal liability of employees, representatives and corporate bodies of Bosch.

8. COSTS, TRAVEL, ACCOMODATION

8.1 The Event is free of charge.

8.2 Travel, accommodation, and other incidental expenses (e.g., insurance, meals outside the Event) are borne by the participant.

9. DATA PROTECTION

9.1 By agreeing to these Conditions of Participation, the participant agrees to the processing of his personal data provided to Bosch within the scope of this application by Bosch for the duration and purposes of the execution and administration of the Event.

Unless otherwise agreed, the processing of personal data shall take place in accordance with Bosch’s data protection policy, available via Bosch’s website at: https://www.bosch-business-innovations.com/data-protection-policy

10. CONFIDENTIALITY

10.1 "Confidential Information" means all information and documents of the other party that are marked as confidential or are to be regarded as confidential due to the circumstances, in particular information about operational processes, business relationships and know-how.

10.2 The parties agree to maintain confidentiality regarding Confidential Information, unless expressly provided otherwise in these Conditions of Participation. This obligation continues for a period of five (5) years after termination of these Conditions of Participation. For trade secrets within the meaning of Directive (EU) 2016/943, the obligation to maintain confidentiality remains in force even after the expiry of the five (5) years, as long as the Confidential Information in question is classified as a trade secret.

10.3 The parties will only grant access to Confidential Information to those bodies and employees or bodies and employees of affiliated companies within the meaning of Sections 15 et seq. AktG who have previously been subject to confidentiality obligations corresponding to the confidentiality obligations of these Conditions of Participation. Disclosure of Confidential Information to other third parties is only permitted if they are bound to secrecy due to professional secrecy. Furthermore, the parties will only disclose Confidential Information to those employees and other third parties who need to know it in order to fulfill these Conditions of Participation and - in the case of employees - will also oblige these employees to maintain confidentiality for the period after their departure to the extent permitted by labor law.

10.4 Excluded from the above obligations of confidentiality is such Confidential Information that

10.4.1 was already known to the receiving party at the time of participation to this Event without breach of contractual or statutory confidentiality obligations or subsequently become known lawfully from a third party without being subject to a confidentiality obligation;

10.4.2 is publicly known at the time of participation to this Event or becomes publicly known thereafter, unless this is due to a breach of these Conditions of Participation;

10.4.3 was independently developed by the receiving party independently of any Confidential Information received under these Conditions of Participation;

10.4.4 must be disclosed due to legal obligations or by order of a court or authority or is disclosed for reasons of legal defense. To the extent permissible and possible, the recipient obliged to disclose will inform the other party in advance;

10.4.5 disclosed by either party with the prior written consent of the other party.

10.5 Publications relating to the subject matter of these Conditions of Participation are only permitted with the consent of both parties. For publications relating to Bosch, the regulations at: https://brandguide.bosch.com/document/783/en#/overview/overview-the-bosch-brand must be observed.

10.6 The participant undertakes not to observe, examine, dismantle or test (so-called reverse engineering) a product or item received from Bosch without the prior consent of Bosch, provided that the product or item is not publicly available. The participant is not entitled to disassemble, decompile or translate any Software received into another code form, whereby the participant's mandatory copyright rights under Articles 5 and 6 of the EU Directive 2009/24/EC (exceptions to actions requiring consent and decompilation) remain unaffected.

11. ANTITRUST
The participant commits to strict adherence with antitrust law.

12. MISCELLANEOUS

12.1 These Conditions of Participation shall be governed by and be construed in accordance with the substantive laws of the Federal Republic of Germany.

12.2 In the event any provision of these Conditions of Participation is or becomes invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 There is no recourse to legal action regarding the decision of the Bosch internal board concerning the participants of the Event.
